1.         Scenario 1: A is a foreign investor who plans to purchase 1,000,000ordinary shares of a listed company in Vietnam (ListCo) from B who is anexisting shareholder of ListCo. A borrows monies from C, a foreign bank, tofinance for the purchase price to be paid to B. C is seeking legal advice aboutthe security package under Vietnamese law which can be used to secure the loanthat C is giving to A.

2.         Scenario 2: If A purchases 1,000,000 ordinary shares fromListCo via a private placement, C is seeking legal advice about all thedocuments that C should ask A to provide to prove that A has duly purchased 1,000,000ordinary shares from ListCo.
