Acting for onshore lenders

We can draft, review, advise, and negotiate financing agreements and security documents from lender’s perspective. We can also conduct lender due diligence if required.

Acting as counsel for MSB on different syndicated loans to EVN with total commitments of VND 500 billion. The syndicate members include both local banks and foreign bank branches.

Acting as counsel for Vietnam International Bank (VIB) on different syndicated loans to EVN with total commitments of more than VND 1,000 billion. The syndicate members from time to time include First Commercial Bank, Taipei Fubon Commercial Bank, Malayan Banking Berhad, Sinopac Bank, China Construction Bank, and Woori Bank.

Acting for local borrowers

We can draft, review, advise, and negotiate financing agreements and security documents from borrower’s perspective.

Local counsel in cross-border financing transaction

We can advise offshore lenders about Vietnamese law aspects when they plan to finance Vietnamese borrowers or take security interest over assets in Vietnam. We can also conduct lender due diligence, draft, review, and advise on security documents over assets in Vietnam, and assist on the perfection of such security.
