Experience

Duy has been involving in various deals and legal issues including:

  • Advise onshore lenders

    ·    Advise Vietnam International Bank (VIB) in providing various syndicated loans to EVN subsidiaries with total commitments of more than VND 1,200 billion. The syndicate members from time to time include First Commercial Bank, Taipei Fubon Commercial Bank, Malayan Banking Berhad, Sinopac Bank, China Construction Bank, and Woori Bank.

    ·         Advise MSB in providing different syndicated loans to EVN subsidiaries with total commitments of VND 500 billion.

    ·         Advise Vietcombank and draft transaction documents to finance various major real-estate projects in Vietnam.

    ·         Assist TPBank in its finance to its clients and purchasing debts.

    ·         Advise MUFG Bank on several legal issues relating to AML.

    ·         Draft and review documents relating to trade finance and account of CIMB in its establishment in Vietnam.

    ·         Advise Mizuho day-to-day retainer advice in compliance to Vietnamese laws.

    ·         Assist Citibank in its operation of employee loan program.

    Advise local borrowers

    ·         Advise DNP Water on a convertible loan transaction with IFC.

    ·       Advise BWID in borrowing different loans from Vietcombank, Vietinbank, and MB with total value of more than VND 1,500 billion.

    ·         Assist various clients in drafting, registering and de-registering security agreements

    ·         Assist various clients (including Metis Energy) in registering or amending foreign loans with the SBV.

    Advise offshore lenders in cross-border financing transaction

    ·        Advise offshore lenders to finance USD 250 million to KKR to invest into Masan Meat Life (formerly known as Masan Nutri-Science).

    ·         Advise Amarenco Asia Pacific Pte. Ltd. regarding share mortgage agreement.

    ·         Advise and assist Standard Chartered Bank in various matters relating to financing Vietnamese banks, establishment of new products, operation and compliance to Vietnamese laws.

    ·         Assist Sumitomo Mitsui Banking Corporation in its financing to a Vietnamese bank.

    Bond issuance

    ·         Act as counsel for VNDirect and Vietcombank underwriters for a subsidiary of Trung Nam Group in its issuance of VND 11,000 billion bonds to finance 400MW Ea Nam Wind Farm.

    ·        Advise DNP Holding Company (formerly known as Dong Nai Plastic) in issuing USD 24 million convertible bonds to Olympus Capital Asia, an US IFC-funded investment fund.

    ·          Advise Hoang Huy Group in issuing USD 50 million convertible bonds to Korean counterparties.

    ·         Advise various issuers (including KIDO, Kien A, and Dat Xanh) in issuing domestic bonds with total value of VND 1,850 billion.

    Others

    ·         Advise Deutsche Bank in reviewing its specific terms applying to account opened with it in Vietnam.

    ·         Advise Bank of China (Hong Kong) Limited in compliance with Vietnamese law of its account opening arrangements.

    ·         Advise Kim & Chang on security enforcement over a landmark real property in Vietnam.

    Assist various banks in drafting and registering security agreements, including ANZ, DBS Bank, HSBC (Vietnam), Natixis Bank, Rabobank, United Overseas Bank Limited.
